SPIFF Terms & Conditions

 

Overview

MetroSys has created this SPIFF program to create new sales opportunities and reward its employees, contractors, and business partners for referrals that convert new opportunities into sales.

1.     DEFENITIONS

1.1.  Active Qualified Referral: An Active Qualified Referral is a specific recommendation of a customer or prospective customer of the referring party by the referring party to MetroSys. The Active Qualified Referral will be either a New Customer Referral or an Existing Customer Referral. The referred customer or prospective customer is expressly introduced to the receiving party by the referring party.

1.2. New Customer Referral: A New Customer referral is a specific opportunity lead for a customer or prospective customer of MetroSys provided by the referring party. The referred customer or prospective customer is expressly introduced to MetroSys by the referring party and define an opportunity to be commissioned.

1.2.1. New Customer Referrals may be disqualified from the SPIFF program due to existing relationships or activities that may exist with the prospect customer and the referred party, potential ethics validations or conflicts of interest.

1.3. Existing Customer Referral: An Existing Customer Referral is a specific opportunity lead from an existing customer of MetroSys provided by the referring party. The referred opportunity is expressly introduced by referring party to MetroSys.

1.3.1. An Existing Customer Referral may be disqualified from the SPIFF program due to existing relationships or activities that may exist with the prospect customer and the referred party, potential ethics validations or conflicts of interest.

2.0. Opportunity Eligibility Criteria

a.     The opportunity is not being pursued directly by MetroSys at the time the Referring Party submits the deal;

b.     The opportunity is not registered by another Referrer;

c.     The MetroSys has not conducted business with one (1) calendar year to include pre-sales and post-sales activities either directly or indirectly;

3.0.  Deal Registration

3.1. Referring Party must submit SPIFF Registration Form for review. The first submission that meets all program criteria will be approved for that end-user opportunity.

3.2. If a deal is approved, MetroSys will notify the Referring party by e-mail. The MetroSys will make best effort to notify the Referring Party of its decision within one to three (3) business days.

3.3. If a deal is declined, MetroSys will notify the Referring Party by e-mail, and will include the reasons for such decision.

4.0. Approval Period. MetroSys must close an Active Qualified Referral within 90 days of Active Qualified Referral approval date or the approval expires. The Referring Party may request one extension per opportunity. MetroSys at its discretion, may extend the approval period if sufficient justification exists.

5.0. SPIFF Reward

6.1. New Customer Referral: The referring party will receive a SPIFF commission of 20% of the NET profit of the services sold of an Active Referral. The NET profit is determined after all project operating expenses including recruiting fees, staffing costs, travel expenses, and project expenses have been paid. If the services sold is unprofitable, no SPIFF commissions will be paid.

6.2. Existing Customer Referral: The referring party will receive a SPIFF commission of 10% of the NET profit of the services sold of an Active Referral. The NET profit is determined after all project operating expenses including recruiting fees, staffing costs, travel expenses, and project expenses have been paid. If the services sold is unprofitable, no SPIFF commissions will be paid.

6.0.  Other Terms

6.1. SPIFF Commissions end when this Agreement ends, the customer ceases doing business for up to six (6) months, or after one (1) year of receiving commissions from a qualified Active Referral.  

6.2. A SPIFF commission on sales made is earned only after the referred customer actually pays for goods and services and will be paid NET 30 terms day of funds received from customer.

6.3. Terms and conditions are subject to change without notice.

6.4 There is no limit to the number of SPIFF Referral submissions.
